Brendan specialises in large or strategically important negotiated transactions and corporate restructuring. He is known for delivering innovation, coordination and efficiency by managing multidisciplinary teams to anticipate and solve legal problems or other obstacles.
He is a relationship partner for AIA Australia, Coles Group and BUPA Australia and a key member of our advisory teams for Cadbury and Schweppes Australia.

Brendan’s recent transactional experience indicates a broad practice across multiple industries including insurance, healthcare, retirement villages, aged care, fast moving consumer goods, wholesale and retail distribution, manufacturing and infrastructure.
Recently, he has advised:
- American International Group in Australia on a long term bancassurance alliance with St George Bank Limited for the manufacture and distribution of life insurance products
- American International Group in Australia on issues arising from upstream lending by the Federal Reserve Bank of New York to American International Group, Inc
- ARC Knowles on its sale of 17 retirement villages and three villages under construction to Stockland Corporation Ltd, one of Australia’s largest transactions in the retirement village sector to date
- Australian Infrastructure Fund on the acquisition of Townsville International Airport and Mount Isa Airport
- Baxter Healthcare on a confidential strategic transaction
- BUPA Australia on its due diligence review before acquiring the Amity/Guardian group of aged care facilities for A$1.225 billion—Australia’s largest aged care transaction to date
- Cadbury plc on a series of corporate restructures affecting entities in Australia, Asia and the United Kingdom
- Cavill Power Products Pty Ltd, a Caterpillar dealer in South Australia on a multi-billion dollar joint venture for the supply and maintenance of haul trucks
- Coles Group on a confidential strategic transaction
- Investec Bank on the sale of wind-farm developments to AGL, and
- on distressed transactions, representing Ferrier Hodgson on asset sales flowing from their appointment to a meat processor and advising Octaviar Limited on sales of responsible entities to Arctic Capital and Wellington Capital.
Brendan has advised ANZ Bank and Hastings Private Equity on numerous private equity investments. In 2007, Brendan was named as a recommended lawyer in the Australian Legal Business Review of Private Equity practitioners.
Professional background
Brendan holds a Bachelor of Laws (Honours) and a Bachelor of Arts degree from the University of Melbourne.
He regularly presents seminars to clients on mergers and acquisitions and contract law including negotiation strategy and risk allocation techniques such as indemnities and limitation clauses.
