Josh is a Director of Greenwoods & Freehills Pty Limited, having joined the firm in July 2007.
Prior to joining the firm, Josh was a tax partner with one of the major international accounting firms.
Experience
Josh has extensive transactional experience in the general corporate, private equity and property industries, which has given him a depth of expertise in relation to issues encountered with mergers and acquisitions such as:
- tax due diligence
- structuring original and follow on investments, either directly or via investment vehicles
- structuring of funding arrangements
- structuring of divestments
- assistance with tax components associated with share and asset acquisition agreements
- management equity plans, and
- review of forecasts for acquisitions and/or capital market raisings.
Recent transactions in respect of which Josh has advised include:
- Westfield Group on the demerger of the Westfield Retail Group
- Aegis PLC’s acquisition of Mitchell Communications Limited
- Propel Investments’ disposals of Marstal Terminals and Bledisloe Group
- Banpu’s acquisition of Centennial Coal Limited
- I-Med Network debt reorganisation
Professional background
Josh has a Bachelor of Business from the University of Technology, Sydney and a Masters of Taxation from University of Sydney. Josh is a fellow of the Taxation Institute of Australia and a member of the Institute of Chartered Accountants in Australia.
Josh is a frequent contributor for the Taxation Institute of Australia and has been involved with AVCAL and the Property Council of Australia’s lobbying in respect of many recent tax change proposals.
