Louise Capon is a partner in the Corporate group of Freehills, Sydney.
She has a general commercial practice with particular expertise in advising clients who work in highly regulated industries.
Louise has a background in corporate law and technology, together with expertise in a range of industries including telecommunications, media and entertainment, gaming and wagering, energy, manufacturing, retail, construction and financial services.
Louise has worked with clients including Austar, Australian Energy Market Commission, Caltex, Commonwealth Bank, CSR, David Jones, Eraring Energy, Fairfax, Leighton Holdings, Lend Lease, Macquarie Bank, MLC, Tabcorp, Telecom New Zealand, Sky Channel, Vodafone and Westpac.
Experience
Louise’s experience includes:
- advising on, drafting and negotiating acquisitions, joint ventures and strategic alliances
- drafting and negotiating distribution, supply, management, services and other “relationship” contracts
- technology agreements, including software development, software licensing, system integration, support and maintenance and hosting agreements
- telecommunications agreements, including service agreements, network infrastructure construction agreements, network operations and maintenance agreements, satellite services agreements, interconnection, backbone and co-location agreements
- broadcasting and media-related agreements, including content and rights agreements, platform and distribution agreements, equipment agreements
- outsourcing agreements (both technology and business processing), procurement and tenders
- advising clients on structuring, licensing and generally commercialising intellectual property rights
- advising on complex regulatory issues relating to “business as usual” and strategic matters, and
- providing advice on regulatory reform issues, including amendments to legislation.
Professional background
Louise joined Freehills in 1994 and became a partner in 2001. She was seconded to Holme Roberts & Owen in London in 1999 where she worked on various joint ventures, acquisitions and capital raisings in the European telecommunications and pay television industries.
Louise has a Bachelor of Laws (Honours) and a Bachelor of Economics from the University of Sydney.
Louise is a member of the Media and Communications Committee of the Law Council of NSW.
