Evelyn Halls is a partner in the Freehills Corporate group.

Evelyn’s practice involves advising companies, managed investment schemes and statutory bodies on a range of issues including:

• negotiated acquisitions
• equity capital raisings
• hedge fund and alternative investments, and
• joint ventures and strategic alliances
• corporate restructuring
• Corporations Act, ASX Listing Rule and statutory interpretation issues, including directors duties, corporate governance and Australian Financial Services Licensing.

• initial public offers of companies, managed investment schemes and stapled entities including Austock, Becton Property Group, Clive Peeters, Indophil Resources, MCM Entertainment, Myer Holdings, Orchard Industrial Property Trust and Telstra (tranches 1 and 2);
• secondary capital raisings (including entitlement offers using accelerated structures and ‘low doc’ offers) for companies and managed investment schemes including Boom Logistics, Growthpoint Properties Australia, Gunns and Hastings Diversified Utilities Fund;
• investments by the Future Fund Board of Guardians in a number of open-ended and fixed-term, co-mingled and custom hedge, alternative investment debt and equities funds;
• the strategic review of Centro Properties Group (including recapitalization, equity issue and acquisition proposals);
• the restructure and recapitalisation of the Orchard Industrial Property Trust (now Growthpoint Properties Australia), including a cornerstone investment by Growthpoint SA;
• Becton Property Group’s strategic alliance with the Oman Investment Fund in relation to its retirement business, and an associated cornerstone investment by the Oman Investment Fund;
• joint venture arrangements for Australian and foreign companies including True Value Solar and TSX Group;
• the conversion to equity of subordinated unsecured reset notes issued by Orchard Group Capital Limited; and
• Nnegotiated acquisitions and disposals for Australian and foreign companies including ABC Learning Centres, Becton Property Group, BIS Industrial, Care Park, Funtastic, Hitwise (US), MCM Entertainment, Pacifica, Telecom Venture Group and Verifone, Inc.

Evelyn holds a Bachelor of Laws degree with Honours and a Bachelor of Arts degree from the University of Melbourne. Evelyn joined Freehills as an Articled Clerk in 1995.
