Kate practises primarily in the infrastructure, energy and resources sectors. In the infrastructure sector she has experience in power, transport, water and public private partnerships.
Experience
Kate has worked on greenfield infrastructure projects, the restructuring of existing projects, mergers and acquisitions involving infrastructure assets/vehicles and project and corporate financings. Kate has acted for project sponsors, government bodies, borrowers, equity participants and financial institutions.
Infrastructure
- Advising the New South Wales Government in relation to aspects of the proposed New South Wales electricity reform project.
- Advising Jemena in relation to its operations and maintenance agreements for its NSW gas network and its Victorian electricity network.
- Advising the BassWater consortium (RBS, Veolia, John Holland, Leighton Contractors) in relation to aspects of their bid for the Victorian desalination PPP.
- Advising Babcock & Brown in relation to the Orange and Associated Health Services PPP.
- Advising the consortium in relation to variations of the NSW Schools II PPP.
Mergers and acquisitions
- Advising Prime Infrastructure in relation to the corporate structure of its WestNet Rail business as part of its recent recapitalisation.
- Advising LinkWater in relation to the sale of certain Queensland water pipeline interests.
- Advising AGL in relation to the sale of certain Queensland gas pipeline interests.
- Advising Marubeni Corporation and Osaka Gas Co. in relation to their investment in the unlisted Energy Infrastructure Investments vehicle with APA Group.
- Advising the Independent Public Business Corporation of Papua New Guinea in relation to its investment in the PNG LNG project.
- Advising Prime Infrastructure in relation to its acquisition of the Western Australian assets of Australian Railroad Group Pty Limited and the subsequent separation and on-sale of the above rail assets to QR Limited.
- Advising Macquarie Bank in relation to the acquisition of a cogeneration power plant and water treatment plant in Korea.
Energy and resources
- Advising AGL in relation to gas transportation arrangements on the Moomba to Sydney, Central West and Roma to Brisbane pipelines.
- Advising AGL and Petronas in relation gas sales and transportation arrangements on the proposed PNG to Australia gas pipeline.
- Advising Marubeni in relation to a borrowing base facility arranged by Royal Bank of Scotland, Bank of Scotland and Mizuho and secured by oil and gas assets located in the UK and US.
Project and corporate finance
- Advising WestNet Rail and Prime Infrastructure in relation to the refinancing of WestNet Rail’s syndicated facility.
- Advising the Loy Yang Power Partnership in relation to the refinancing of its financing arrangements.
- Advising Fairfax in relation to a listed €350 million Eurobond issue, two US private placements and acquisition facilities for the acquisition of Rural Press Limited and various NZ publishing assets.
Professional background
Kate has a Bachelor of Laws from the University of New South Wales and a Bachelor of Commerce from the University of New South Wales. Kate also has a Graduate Diploma of Applied Finance and Investment from the Securities Institute of Australia.
Kate has practised in Australia and the United Kingdom and is admitted as a solicitor of the Supreme Court of New South Wales.
