Current practice
Andrew is a partner in Freehills’ Corporate group. His practice includes negotiated acquisitions and disposals, private equity transactions and joint ventures and other shareholder arrangements. Andrew also advises on fund formation and investment.
Andrew appeared in the 2012, 2011, 2010 and 2009 editions of Best Lawyers in Australia in two categories: Leveraged Buy Outs and Private Equity.
Experience
Andrew has advised on transactions in Australia and Europe. Particular transactions Andrew has worked on in Australia include:
- the investment by Lazard Private Equity in technical sports apparel brand 2XU and in debt finance specialist Scottish Pacific Benchmark
- the investment by South Gobi Resources Limited in ASX listed Aspire Mining Limited and in Modun Resources Limited
- the acquisition by Gunns of ITC sawmill assets from Elders and forestry assets from Great Southern (including the replacement of the responsible entity of various Great Southern MIS schemes)
- various transactions in the route bus industry, such as the sale of Grenda Transit Management to Ventura Motors, Kefford Group to ComfortDelGro Cabcharge Corporation and Northern Bus Lines to L.C. Dyson's Bus Services. Andrew was also responsible for the sale of Kastoria Bus Lines, US Bus Lines, Broadmeadows Bus Group and Martyrs Bus Service and the purchase of Seymour Passenger Service
- Hastings Funds Management’s private equity investments in Bras N Things, Integrated Packaging Group and Reflections Group
- Coles Group Limited’s ownership review
- the investment by Tiger Global Management LLC in Carrick Institute of Education and Carrick’s subsequent sale to Kaplan Australia
- the joint venture between Driscoll Strawberry Associates, Inc. and Costa Exchange
- the Australian aspects of the acquisition by KPS Capital Partners of Waterford Wedgwood group
- the acquisition by Turnberry Funds Management of SEM Fire and Rescue from Skilled Group
- the Australian aspects of the acquisition by Vista Equity Partners of Thomson Reuters’ trade and risk management business
- the sale by Catalyst of Australian cable maker Olex Holdings to French industry buyer Nexans
- the sale of the Davenport clothing business to Gazal Corporation Limited
- the sale by Catalyst and Advent of pub group Taverner Holdings to Woolworths
Professional background
Andrew first joined Freehills in 1993 and moved to London in 1997. While in London Andrew worked at Ashurst for 6 years, rejoining Freehills in 2003. He has Bachelors degrees in Law and in Arts (Honours) from the University of Melbourne. Andrew also holds a Postgraduate Diploma in Applied Finance and Investment.
