Current practice

Haydn has more than 13 years experience working in Indonesia. Haydn joined Freehills’ Sydney office in 1987 and accepted an invitation to join that partnership in 1997. Haydn was seconded to Soemadipradja & Taher in 1993 and gained extensive experience in the workings of the Indonesian legal system from acting for both foreign and Indonesian clients over an 11-year period. Haydn has advised on all manner of different projects, including  financial services, resources projects including oil and gas, coal and gold mining and the privatisation of the Jakarta water supply and power projects.

After spending two years working as a partner in the Projects group of Freehill’s Sydney practice focusing on Indonesian projects, Haydn has recently returned to once again join Soemadipradja & Taher as foreign legal counsel.

Financial Services

Haydn has advised:

  • AXA on the establishment of Bancassurance operations in Indonesia
  • MLC on the establishment and eventual divestment of its Indonesian operations
  • QBE on the establishment of its Indonesian operations
  • Marsh on the acquisition of broking businesses in Indonesia and on the reorganisation of its Indonesian operations
  • Manulife on the reorganisation of its Indonesian operations
  • Commonwealth Bank of Australia on the reorganisation of its Indonesian operations, and
  • Zurich on the divestment of its Indonesian operations.

Mergers & Acquisitions

Haydn has advised:

  • Hewlett Packard on the merger of the Indonesian operations of Hewlett Packard and Compaq
  • Burns Philp on the divestment of their Indonesian spice business
  • Commonwealth Bank of Australia on its bid for two Indonesian banks
  • United Overseas Bank of Singapore on its bid for Bank Permata, and
  • Tata Power on the US$1.1 billion acquisition of a 30 per cent stake in Bumi Resources Indonesian coal mining operations.

Mining

Haydn has advised:

  • Newmont Mining Corporation on all aspects of their business in Indonesia
  • BHP Billiton on its Maruwai coal project Kalimantan, Indonesia
  • a subsidiary of Straits Resources on all aspects of their coal mining operations in Indonesia, and
  • Newcrest Mining on its application for contracts of work and establishing relevant corporate structures.

Project Finance

Haydn has advised:

  • Tata Power on the financing of the acquisition of US$1.1 billion acquisition of a 30 per cent stake in Bumi Resources Indonesian coal mining operations
  • PT Newmont Nusa Tenggara in relation to the construction and financing of the US$2 billion Batu Hijau gold and copper mine and associated facilities in Indonesia
  • ANZ on the project financing of Austindo’s Cibaliung gold mine in Indonesia
  • Aneka Tambang on the project financing of the expansion of the Gunung Pongkor gold mine in Indonesia
  • PT Excelcomindo on the restructuring of its foreign debt
  • PT Indomura Kencana in relation to the construction and financing of the Mt. Muro gold mine in Indonesia, and
  • International Finance Corporation on the project financing of industrial and hotel development projects in Indonesia.

Multilateral and Infrastructure transactions

Haydn has advised:

  • Macquarie Bank/Leighton consortium bidding for the Cikarang to Tanjung Priok toll road in IndonesiaInternational Power on the acquisition of the Paiton power station in Indonesia
  • Mitratel on the negotiation of a joint operation agreement with Telkom and the project financing and establishment of its telecommunciations business in Kalimantan, Indonesia
  • the consortium that gained two World Bank water supply mandates for Indonesia: the Jabotabok Water Project and the National Water Project
  • PT CEPA Indonesia in relation to the Tanjung Jati B Power Project who were selected to develop a US$1.9 billion coal-fired power station in Indonesia, and
  • Malakoff on a bid for a two 100MW coal-fired power plants in Sumatra, Indonesia.

Haydn’s experience also covers the first securitisation of receivables in Indonesia, Eurobond issues, funds management, technology licensing and distribution arrangements, bankruptcy and corporate reconstructions, and investment in and leasing of commercial buildings and shophouse, office park, shopping centre and retail developments.

Professional background

Haydn has a Bachelor of Economics and a Bachelor of Laws from Macquarie University. Haydn is admitted to practice as a barrister and solicitor of the Supreme Court of New South Wales and the High Court of Australia. He has also lectured at the University of Indonesia, Jakarta, on foreign investment and project financing of mining projects.
