Current practice
Priscilla has considerable experience in head office advisory work and in many fields of transaction-based commercial legal work. She has acted for a wide range of listed and unlisted public companies, joint ventures, private companies, governments and other business enterprises.
Her principal areas of practice involve:
- head office, corporate governance and advisory work
- corporate restructurings
- M&A transactions, including negotiated acquisitions and disposals by domestic and foreign companies
- joint ventures
- commercial contracts, competitive tenders and other commercial arrangements.
In addition to her time at Freehills, Priscilla has spent more than three years working in London with Allen & Overy and six months on secondment at Telstra Corporation Limited.
Industry experience
Some of the matters Priscilla has managed or been closely involved with include:
- completing a six month secondment at Telstra Corporation Limited, providing legal advice to the Office of the Company Secretary and the Finance & Administration group
- acting for Wesfarmers Limited on the sale of Landmark to AWB Limited
- advising AXA on majority shareholder issues in relation to its stake in AXA Asia Pacific Holdings Limited
- managing the European and Asian elements of SunGard Data Systems Inc.’s acquisition of Comdisco Inc.’s availability solutions business
- in 2001–02, undertaking a three month secondment in Slovakia, where she provided legal advice to both the Slovak Government and to international bidders in relation to a number of privatisations
- acting for various Australian and international publicly listed companies regarding corporate governance, shareholder issues, takeovers, acquisitions and disposals.
Professional background
Priscilla graduated from Monash University in 1995 with a Bachelor of Laws (Hons) and a Bachelor of Arts.
She was admitted in Victoria in 1997, and in England and Wales in 2000.
Priscilla became a partner in the Corporate group on 1 July 2005.
