Current practice

Andrew is a partner in the Corporate group at Freehills. His practice includes negotiated acquisitions and disposals, private equity transactions and joint ventures and other shareholder arrangements. Andrew also has a day-to-day advice and relationship role for a number of the firm’s clients including Hastings Private Equity, Funtastic and Clive Peeters.

Industry experience

Andrew has advised on transactions in Australia and Europe. In particular, from 1997 to 2003 Andrew gained extensive international experience while working at a leading London firm. Particular transactions Andrew has worked on include:
  • Coles Group Limited’s ownership review
  • various acquisitions for Funtastic including Madman, Planet Fun and Judius.  Andrew also advised on Funtastic’s 20 year supply agreement with ABC Learning Centres
  • Hastings Funds Management’s private equity investments in Integrated Packaging Group
  • the IPO of electrical retailer Clive Peeters and subsequent business acquisitions
  • the sale by Catalyst of Australian cable maker Olex Holdings to French industry buyer Nexans
  • the sale of the Davenport clothing business to Gazal Corporation Limited and subsequent start-up of Clyde Davenport’s new technical sports apparel business, 2XU
  • the sale by Catalyst and Advent of pub group Taverner Holdings to Woolworths
  • the sale of nappy manufacturer APPP Holdings by Castle Harlan Australian Mezzanine Partners to Gresham Private Equity
  • the management buy-out of New Clicks Australia by ABN AMRO, Investec Wentworth Private Equity and Castle Harlan Australian Mezzanine Partners. New Clicks Australia owns the Priceline, House and Price Attack brands in Australia
  • the sale of CITIC Group’s Australian resources assets to Hong Kong listed CITIC Resources Holdings Limited
  • Chelsfield plc’s lead participation in the Global Switch international telehousing joint venture, and
  • structured co-investment real estate transactions for Citigroup.

Professional background

Andrew first joined Freehills in 1993 and rejoined in 2003 after returning from London. He has Bachelors degrees in Law and in Arts (honours) from the University of Melbourne. Andrew also holds a Postgraduate Diploma in Applied Finance and Investment.
